We strive to maintain high availability of our website and services, but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of our services at any time.

Accurate Information

You agree to provide accurate, current, and complete information when engaging our services or communicating with us. You are responsible for maintaining the confidentiality of any account credentials.

Cooperation

Successful delivery of our services often requires your timely cooperation, including providing access to systems, information, and personnel as reasonably requested. Delays caused by lack of cooperation may affect project timelines and deliverables.

Acceptable Use

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our services or interfere with any other party's use of our services.

Our Property

Work Product

Unless otherwise specified in a written agreement, deliverables created specifically for you as part of an engagement become your property upon full payment. We retain ownership of pre-existing materials, methodologies, and tools used in providing services.

Feedback

Any feedback, suggestions, or ideas you provide regarding our services may be used by us without obligation or compensation to you.

Your Information

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide our services or as required by law. We implement reasonable security measures to protect your information.

Non-Disclosure

For engagements involving sensitive information, we recommend executing a separate Non-Disclosure Agreement (NDA) that specifically addresses confidentiality requirements.

Pricing

Service pricing is as quoted in proposals, statements of work, or as published on our website. All prices are in US dollars unless otherwise specified.

Payment

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may incur interest charges and may result in suspension of services.

Refunds

Disclaimer of Warranties

Maximum Liability

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for services during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless WebWrite Consulting and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or your violation of any rights of a third party.

By You

You may terminate your engagement with us at any time by providing written notice. You remain responsible for payment for all services rendered up to the date of termination.

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these terms or for any other reason at our sole discretion.

Effect of Termination

Upon termination, your right to use our services will immediately cease. Provisions of these terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to an alternative resolution method.

Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Colorado.

Entire Agreement

These Terms of Service, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and WebWrite Consulting regarding the use of our services.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
